1. Acceptance of Terms
By accessing the Zodize website (zodize.com), using our services, submitting a project enquiry, or entering into a service agreement with Zodize, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use our website or services. These Terms form a legally binding agreement between you ("Client" or "you") and Zodize ("we", "us", "our").
2. Services
Zodize provides custom software development, web development, mobile application development, ERP/enterprise solutions, fintech platforms, e-commerce systems, technology consulting, and related digital services. The scope of any individual engagement is defined in a separate Statement of Work, project proposal, or service agreement signed by both parties.
3. Quotations and Project Initiation
3.1 All quotations provided by Zodize are valid for 30 days from the date of issue unless otherwise stated.
3.2 A project is formally initiated only upon receipt of a signed proposal or written confirmation of engagement AND receipt of the required deposit payment as specified in the quotation.
3.3 Changes requested after project initiation may alter the scope, timeline, and cost. Any such changes must be agreed in writing by both parties before implementation.
4. Payment Terms
4.1 Payment structures are specified in individual project agreements. Standard payment schedules typically follow a deposit, milestone, and completion structure.
4.2 Invoices are due within the timeframe specified on the invoice, typically 7–14 business days.
4.3 Late payments may incur interest at 5% per month or the maximum rate permitted by applicable law, whichever is lower, calculated from the due date.
4.4 Zodize reserves the right to suspend work on any project where payment is overdue by more than 14 days without prejudicing any other rights or remedies.
4.5 All prices are stated exclusive of applicable taxes unless otherwise specified. Clients are responsible for any taxes applicable in their jurisdiction.
5. Client Responsibilities
The Client agrees to:
- Provide timely, accurate, and complete project requirements, content, assets, and feedback.
- Designate a point of contact with authority to make project decisions.
- Respond to queries and review deliverables within the agreed timeframes (typically 5 business days unless otherwise stated).
- Ensure that any materials, content, logos, images, or third-party software provided to Zodize are owned by the Client or properly licensed, and do not infringe any third-party rights.
- Maintain adequate backups of existing systems before any integration or migration work begins.
Delays caused by the Client's failure to fulfil these responsibilities may result in timeline extensions and additional charges, which will be communicated in writing.
6. Intellectual Property
6.1 Client ownership upon full payment — Upon receipt of full payment for a project, Zodize assigns to the Client all rights, title, and interest in the custom-developed deliverables specific to that project, including source code, databases, and documentation created exclusively for the Client.
6.2 Zodize retained rights — Zodize retains ownership of all pre-existing intellectual property, proprietary frameworks, development methodologies, libraries, tools, know-how, and general techniques used in the development process. Nothing in these Terms shall be construed to transfer ownership of Zodize's proprietary codebase or reusable components.
6.3 Third-party components — Software projects may incorporate open-source libraries, third-party APIs, or licensed components. These remain subject to their respective licences. Zodize will identify material third-party components in project deliverables.
6.4 Portfolio rights — Unless the Client requests confidentiality in writing before project commencement, Zodize reserves the right to reference the completed project (name and general description only) in its portfolio, marketing materials, and case studies.
7. Confidentiality
Both parties agree to treat as confidential all non-public information disclosed by the other party in connection with the services, including business plans, technical specifications, pricing, and client data. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of the engagement for a period of 3 years.
8. Warranties and Representations
8.1 Zodize warrants that deliverables will materially conform to the agreed specifications at the time of delivery.
8.2 Zodize provides a post-delivery defect correction period as specified in the individual project agreement (typically 30–90 days), covering bugs in functionality that was agreed and built. This does not cover new feature requests, changes in requirements, or issues arising from Client modifications.
8.3 Zodize does not warrant that software will be entirely free from errors in all environments, that it will meet requirements not communicated prior to development, or that operation will be uninterrupted.
8.4 The Client warrants that it has the right to use and share all materials provided to Zodize and that using such materials does not infringe any third-party rights.
9. Limitation of Liability
9.1 To the fullest extent permitted by law, Zodize shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or reputational harm, arising from or in connection with our services.
9.2 Zodize's total liability for any claim arising from a specific project shall not exceed the total fees paid by the Client for that project.
9.3 Zodize is not liable for delays or failures caused by: (a) the Client's failure to provide required information or approvals; (b) third-party service outages (hosting, APIs, payment gateways); (c) force majeure events; (d) changes in requirements after project initiation.
9.4 Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
10. Termination
10.1 Either party may terminate a project engagement with 14 days' written notice.
10.2 Upon termination, the Client shall pay for all work completed up to the termination date. If the Client terminates for convenience, the deposit and any milestone payments already made are non-refundable.
10.3 Zodize may terminate immediately if the Client breaches payment terms, engages in abusive or unlawful conduct, or requests that Zodize engage in activities that violate applicable law.
10.4 Upon termination, each party shall return or destroy the other's confidential materials, and access credentials shall be transferred or revoked as appropriate.
11. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation. If mediation fails, disputes shall be resolved by binding arbitration under the rules of the Abuja Multi-Door Courthouse or a mutually agreed arbitration body, unless both parties agree otherwise in writing. Nothing prevents either party from seeking urgent injunctive relief in a court of competent jurisdiction.
12. General
12.1 These Terms, together with any project agreement or Statement of Work, constitute the entire agreement between the parties regarding the subject matter and supersede all prior negotiations, representations, or agreements.
12.2 If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
12.3 Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
12.4 These Terms may only be modified by a written amendment signed by authorised representatives of both parties.
